NEED HELP. +500M$ CUSTOMER - Legal Concerns Regarding Shopify Plus Terms and Conditions

There’s a huge client (+500M$ YEAR) considering moving to Shopify, but we can’t find ANYONE who can help us with this. (lol)

My customer Their legal department has carefully reviewed Shopify’s Terms and Conditions, Privacy Policy, and Cookie Policy, and they have identified several serious concerns that we have not been able to clarify through Shopify’s documentation. We would greatly appreciate if someone from Shopify could provide official clarification on the following points:

  1. Data Processing Agreement (DPA):
    The DPA only mentions “fulfilling the contract and improving the services,” but it does not specify the concrete processing activities Shopify will perform. Furthermore, from the standard privacy clause, it seems that Shopify may use personal data collected through our store to promote its own products or third-party products. This would require explicit consent and represents a significant risk, as we would not have control over this processing.

  2. International Data Transfers:
    We need clarification on what specific international data transfers Shopify performs, to which countries, and what safeguards are in place, especially where there is no adequacy decision.

  3. Intellectual Property – Clause 8:
    The license granted to Shopify appears excessively broad and could result in a loss of control over our materials, which is unacceptable for our client.

These are critical questions for our client before they can move forward with Shopify Plus. Could someone from Shopify please provide more detailed and official clarification on these concerns or any one with contacts in shopify?
